by and between Innovative Marketing, hereinafter referred to as Marketer, and participating wine store, hereinafter
referred to as Store, hereby agrees to be the distribution point for initial production of 6,000 single bottle bags.
SECTION 1
Marketer hereby agrees to furnish Store with wine and spirits bags at no cost whatsoever to Store. Bags will be
drop shipped to Store from Marketer’s printer. Store hereby agrees to distribute said bags to customers as they
purchase wine and spirits. Bag size is 13 x 5 x 2 inch pinch bottom wine bag.
SECTION 3
Marketer shall sell advertising space on the bags to local area businesses. Marketer also agrees to allow Store
to proof all art work and advertising prior to printing. If Store fails to respond to Marketer’s bag proof for a
period of 10 days it is hereby agreed that such non-action will be construed as acceptance that the bag proof is
acceptable and Marketer may proceed to print. If marketer, for any reason, is unable to sell ad space to merchants,
marketer may choose not to furnish bags and will refund, in full, any and all merchants that have purchased an ad.
SECTION 3
No other warranties implied or otherwise than what is expressed herein and in writing have been made. This
agreement is to be interpreted and construed under the laws of Florida.
